Lupin Acquires VISUfarma to Strengthen Global Ophthalmology Presence

Global pharmaceutical company Lupin Limited has announced that its wholly owned subsidiary, Nanomi B.V., has entered into a definitive agreement to acquire VISUfarma B.V., a European specialty ophthalmology company backed by healthcare-focused investor GHO Capital Partners LLP.

The acquisition is a strategic step in Lupin’s efforts to expand its specialty pharmaceutical business in Europe and globally. VISUfarma, with its broad portfolio of more than 60 branded eye health products and established commercial infrastructure across key European markets, is expected to provide Lupin with immediate scale and a stronger foothold in the high-growth ophthalmology sector.

Lupin’s CEO, Vinita Gupta, said the acquisition reflects the company’s continued commitment to delivering innovative healthcare solutions and broadening its global specialty footprint. She emphasized that the deal would not only be immediately accretive but also strengthen Lupin’s presence in Europe and build on its ophthalmology franchise.

With operations in countries such as Italy, the UK, Spain, Germany, and France, VISUfarma has grown from a domestic player to a pan-European leader under GHO Capital’s ownership. The company’s product range includes treatments for dry eye, glaucoma, eyelid hygiene, blepharitis, and retinal health, as well as specialized nutraceuticals often prescribed by ophthalmologists.

According to Lupin, integrating VISUfarma’s commercial infrastructure will enable the company to better address growing global demand in the ophthalmology space, which is being driven by an aging population, increased prevalence of diabetes-related eye conditions, and a rise in preventive care awareness.

VISUfarma’s CEO for Italy, Paolo Cioccetti, described the acquisition as an exciting new chapter, highlighting the shared vision and mission between the two companies. He expressed gratitude to GHO Capital for its strategic guidance, which he said was instrumental in transforming VISUfarma into a pan-European market leader.

GHO Capital’s Managing Partner, Andrea Ponti, and Partner Mike Turner praised the transformation of VISUfarma during their investment period and expressed confidence in Lupin’s ability to take the business to the next level as part of a global ophthalmology platform.

The acquisition will be financed through Lupin’s existing cash reserves. The transaction is expected to close by the end of 2025, subject to customary regulatory approvals and closing conditions. Lupin expects the deal to be accretive to its growth and margin profile.
